To meet global regulatory requirements and mitigate financial risks, Anwin has established a comprehensive Know Your Business (KYB) and compliance review framework. For institutional clients, we require complete, authentic, and verifiable corporate information to help ensure legitimacy, transparency, and compliance. Below is an overview of the core information and related requirements that corporate clients are expected to provide during onboarding.


Shareholder / Member Register Requirements

Anwin accepts the following types of documents as proof of shareholder or member information: official documents issued by government registration authorities, certificates of incumbency or certificates of good standing, and articles of association or organizational structure documents. Submitted documents must include the following information: the legal entity name, company registration details, and detailed shareholder information, including name, number of shares held, and shareholding percentage. In addition, the documents must clearly identify the company’s Ultimate Beneficial Owner (UBO).

Director Register Requirements

Acceptable document types include government registration authority documents, certificates of incumbency, and articles of association or organizational structure documents. The documents must clearly set out the legal entity name, company registration details, and the current list of directors.

Proof of Corporate Existence and Legal Standing

The company must provide a certificate of incumbency or a similar document to demonstrate that it remains in lawful existence and good standing. The relevant document should include at least the company name and registered address, place of registration, and the current directors, senior management, and beneficial owners, where applicable.

Authorized Representative Information

The company must provide a list of authorized representatives, clearly identifying the following persons: those authorized to sign agreements and contracts on behalf of the company, the persons exercising actual control and the beneficial owners, and those authorized to submit applications and conduct business operations on behalf of the company.

Definitions of Key Roles

To ensure consistency in compliance review, Anwin defines key roles within the corporate structure as follows. A Controller refers to an individual who has significant influence over the company’s operations, management, or decision-making, including senior executives such as the CEO, CFO, or COO, or individuals performing equivalent functions. A Director refers to a person appointed or elected to the board who participates in corporate governance and decision-making. A director may be an internal director or an independent director, and in some cases may also qualify as a controller. An Ultimate Beneficial Owner (UBO) refers to an individual who directly or indirectly owns or controls 25% or more of the company’s interests, or a natural person who exercises ultimate control over the company.

Disclosure of Regulatory Status

The company must disclose whether it is subject to any of the following statuses: supervision, where a court or regulatory authority appoints a supervisor to review the company’s compliance status; or receivership, where an independent receiver takes control of the company’s operations, typically for debt resolution or risk control purposes.
